HB0101 – Electronic corporate records
According to the summary provided by the Legislative Services Office:
“This act amends the Wyoming Business Corporations Act to authorize corporations to:
Use distributed or other electronic networks or databases for the creation or maintenance of corporate records;
Provide notice to a shareholder by an electronic transmission to a data address provided by the shareholder;
Identify a shareholder in the corporation’s current record of shareholders by a data address;
Arrange certain lists of shareholders by a shareholder’s name or data address;
Accept votes of shareholders by a network signature that corresponds to a data address;
Keep records administered by or on behalf of, or maintained by, the corporation on one (1) or more distributed or other electronic networks or databases, provided the records are kept in written form or in another form capable of conversion into written form within a reasonable time.
The act also requires the Secretary of State to review its rules for consistency with the act.”
